Spare Payments ("us", "we", or "our") operates the Spare mobile application (the "Service").

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE APPLICATION. YOU ACKNOWLEDGE THAT THE TERMS ARE SUBJECT TO CONTINOUS MODIFICATIONS, PLEASE REVIEW FREQUENTLY. BY ACCESS AND USE YOU AGREE TO THE TERMS AS MODIFIED.

The present terms of use (the “Terms”) represent the mutual understanding and binding agreement between yourself (and any person you choose to associate with your account) (“you” and/or “the user”) and Spare L.L.C. (“Spare”) governing the access to and the usage of Spare website, mobile, tablet or other smart devices applications in addition to such software stored on servers whether owned or used by us (collectively “Application”) and any associated Spare Digital ID or wearable accessory of any kind.

Your installation, maintenance on your device and/or use of the Application is on the premise and pursuant to the provisions of these present Terms as may be unilaterally amended from time to time.

By using the services offered by Spare you acknowledge that (i) you have unconditionally and irrevocably agreed to be legally bound by the provisions of the Terms, and (ii) you declare that you are a natural person with full capacity to enter into this agreement.

Spare has developed a smart payment and information solution whereby the user will use the Application and digital IDs supplied by Spare as a substitute for cash and an attendance logging system, in a way that the digital ID will be linked to the user’s app and the user shall be able to use the Application and/or Digital ID as a means of payment with the agreed upon third parties service providers, recharging by credit card in-app or by cash on school premises or using other recharge methods.

Spare hereby may not be held responsible for any wrongful, mistaken, invalid or erroneous information, damages, lost data, and software viruses, resulting from or in connection with the use or inability to use the services of Spare. Moreover Spare may not be held responsible for the theft, loss of, damage to the digital ID or any wearable accessory used to operate the Spare Application. In case the digital ID is lost, stolen or damaged in any way whatsoever, the user shall purchase a new digital ID in full price.

Spare shall not incur any liability for any damages, including but not limited to, direct, indirect, special, or consequential damages arising out of, resulting from, or any way connected to the use of their services.

You understand that your user name and pin code, any passwords do exclusively belong to you, thus, you should not disclose them to any third party and that you accept that any transactions made by any third party using your username and passwords shall be your sole responsibility. Furthermore, Spare will not be held liable for any transactions made by a third party if the “Require PIN” feature is disabled.

Spare does neither guarantee nor promise that your personal data may not be shared with third parties for legal and/or financial reasons.

Spare may alter, amend, delete any of the present Terms at any given time, the new Terms will be published on the website, all transactions will adhere to the then enforceable and applicable Terms, therefore, we urge you to check the Terms as often as possible to verify whether any changes have been made to the extent that may alter your use and/or responsibility with respect to our services.

We may amend, enable or disable any of the present features of the digital ID or wearable accessory or our services or terminate the service at any time, without prior notice.

Spare does not make any promises nor guarantees about the accuracy, suitability or completeness of any of the information Spare provides. The services are provided for general informational purposes only and SHOULD NOT be relied upon for the whereabouts of the user.

It is crucial to bear in mind that the child’s safety and wellbeing befall upon the sole responsibility of the parent and the school, hence, any misleading or fallacious information given by the digital ID or wearable accessory including but not limited to the arrival and departure of the child into/from the school premises, whether such misguiding information are attributed to the child’s misuse of the wristband or not shall not befall upon the responsibility of Spare.

Spare expressly disclaims and does not warrant that the functioning of the website, software, application and any features thereto will be free of errors, flaws, failures or faults even though Spare will make their best efforts to rectify such errors.

You agree and understand that by accessing and/or using our website, application or services you are being subject to risks associated with accessing and/or using websites, applications or services of similar nature even though Spare will endure its best efforts, it does not guarantee that no damage or viruses may befall on your computer system and/or software and/or hardware.

The user understands that the services, logos, trademarks, designs of Spare are protected by intellectual property rights and that the user is utterly restricted from using the software for any purposes, such act shall constitute an infringement of Spare’s intellectual property rights and the user may be subject to legal consequences.

The user understands that they shall –at all times- be liable for the usage of Spare services and any actions performed using Spare website, application, digital ID, or services by the person they choose to associate with their account.

You may not use our services, nor your access to our website, software or systems to cause harm or attempt to cause harm to Spare or any other juristic or natural person. We consider hacking attempts, denial of service attempts, spamming, using fraudulent methods in self- identification, misrepresentation of person, gender or capacity as examples of harm or attempts to cause same, in such cases, you shall bear any legal consequences thereto.

REFUND POLICY

Refund Eligibility

- Refunds will only be considered for registered members of the closed community who have utilized the Provider's payment services.

Refund Process

- Users must contact customer support within 14 days of the recharge date to request a refund.

- Refund requests must be submitted in writing, providing transaction details and a clear explanation.

- The Provider will review and communicate refund decisions within a reasonable time frame.

- Approved refunds will be initiated within 21 business days.

Refund Decisions

- You agree and understand that the Provider has the final decision on refund requests, except in cases where the closed community management has the final say.

- Refunds may be denied for incomplete information, fraudulent requests, or violations of terms of service.

- The Provider will engage with the closed community management in cases of disputes to reach a resolution.

The present Terms shall be subject to the laws of the Arab Republic of Egypt. Any dispute arising out of or in connection with the interpretation or the execution of these Terms shall be finally resolved by arbitration before and according to the rules of the Cairo Regional Center for International Commercial Arbitration by one arbitrator to be appointed in accordance with the rules in force at the said center on the date of filing the dispute.
